These Terms of Service ("Terms") govern your use of the website of EHP Capital, LLC, a Wyoming limited liability company ("EHP Capital," "we," "our," or "us"), including all pages, content, and materials made available through it (the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Informational purposes; no offer
The Site is provided for general informational purposes only. Nothing on the Site constitutes an offer to sell or a solicitation of an offer to buy any security, or investment, legal, accounting, or tax advice. Any offering of securities by EHP Capital is made only through definitive offering documents, as described in our Disclosures, which are incorporated into these Terms by reference. In the event of any conflict between the Site and the Disclosures or any offering documents, the Disclosures and offering documents control.
2. Eligibility and use of the Site
You may use the Site only for lawful purposes. You agree not to: (a) use the Site in any way that violates applicable law; (b) attempt to gain unauthorized access to the Site or its systems; (c) interfere with the Site's operation, including by introducing malicious code or scraping at disruptive volumes; (d) reproduce, republish, or distribute Site content for commercial purposes without our prior written consent; or (e) misrepresent your identity or affiliation, including in any form submitted through the Site.
3. Intellectual property
The Site and its content — including text, graphics, logos, photographs, research papers, and design — are owned by or licensed to EHP Capital and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive license to view and download content for your personal, non-commercial use, provided you keep all proprietary notices intact. "EHP Capital" and the EHP Capital logo may not be used without our prior written permission.
4. Information you submit
Information you submit through the Site (including contact and newsletter forms) is governed by our Privacy Policy. You represent that information you provide is accurate and that you are authorized to provide it. Submitting a form does not create any client, advisory, fiduciary, or investment relationship between you and EHP Capital, and does not constitute an offer or commitment by either party.
5. Third-party content and links
The Site may contain links to third-party websites, articles, and social media. We do not control and are not responsible for third-party content, and a link does not imply endorsement. Market data and other third-party information on the Site is believed reliable but has not been independently verified.

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT IS CURRENT OR COMPLETE. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EHP CAPITAL AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
8. Indemnification
You agree to indemnify and hold harmless EHP Capital and its affiliates, members, managers, officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or misuse of the Site.
9. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or the Site shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to their jurisdiction.
10. Changes; termination
We may modify the Site or these Terms at any time; the "Last updated" date reflects the current version, and continued use of the Site after changes constitutes acceptance. We may suspend or terminate access to the Site at our discretion. Sections 3 and 6 through 9 survive termination.
