About EHP Capital
"EHP Capital," "we," "our," and "us" refer to EHP Capital, LLC, a Wyoming limited liability company, together with its affiliates and the special-purpose investment entities it sponsors and manages. EHP Capital is a private real estate investment sponsor with offices in Kansas City, Missouri and Miami, Florida. EHP Capital is not registered as an investment adviser with the U.S. Securities and Exchange Commission or any state securities authority, and is not a registered broker-dealer. Nothing on this Site is, or should be construed as, investment, legal, accounting, or tax advice, and no content on this Site is tailored to the circumstances of any particular recipient. Private offerings; exemptions from registration
EHP Capital's offerings are private placements. Interests in EHP Capital vehicles have not been, and will not be, registered under the Securities Act of 1933, as amended, or the securities laws of any state, and are offered and sold in reliance on exemptions from registration, including Rule 506 of Regulation D. Certain of our offerings are conducted under Rule 506(c), which permits general solicitation; only those offerings may be referenced publicly on this Site. Other offerings are conducted under Rule 506(b) and are not offered, advertised, or made available through this Site, and nothing on this Site should be read as an offer of, or as relating to, any such offering. Eligibility to invest in any EHP Capital offering — including any requirement to qualify as, and where applicable to verify status as, an "accredited investor" as defined in Rule 501 of Regulation D — is determined separately for each offering under its applicable exemption and is described in that offering's Offering Documents. Figures presented on this Site — including assets under management ("AUM"), total units, deal counts, and realized return figures such as average internal rate of return ("IRR") — are estimates prepared internally by EHP Capital as of June 30, 2026, unless otherwise noted. They are derived from internal, unaudited records and reflect the combined experience of EHP Capital and its principals, including transactions completed through predecessor entities or affiliated sponsors prior to the formation of EHP Capital. Not all assets referenced are currently owned or managed by EHP Capital, and portfolio listings may include realized (sold) investments.
Return figures, including the average realized IRR range presented on this Site, are approximations that EHP Capital believes to be accurate and reasonable as of the date of publication, but they have not been audited or independently verified, and they could differ — including materially — from actual results. Calculating IRR and similar metrics requires assumptions and judgments (including as to the timing and characterization of cash flows, the treatment of financings and distributions, and the basis of presentation), and different methodologies, or the correction of errors in underlying records, could produce materially different figures. Risk factors
An investment in private real estate involves substantial risk, including the possible loss of the entire amount invested. Prospective investors should carefully consider, among others, the following risks:
- Illiquidity. Interests in EHP Capital vehicles are not freely transferable, no public market for them exists or is expected to develop, and investors must be prepared to hold their investment for the full investment period, which may be extended.
- Leverage. Properties are typically acquired using mortgage financing. Leverage magnifies losses as well as gains, and debt may not be available, extendable, or refinanceable on acceptable terms, which could result in the loss of a property.
- Interest rates and capital markets. Changes in interest rates, credit availability, and capital markets conditions can materially affect property values, debt service costs, distributions, and exit values.
- Market and economic conditions. Local supply and demand, employment, population trends, rent levels, competition from new supply, changes in law or regulation (including rent regulation), property taxes, utility costs, and insurance costs can each adversely affect performance.
- Operating risks. Tenant defaults, vacancy, collection loss, property damage, casualty and weather events, environmental conditions, deferred maintenance, and construction or renovation cost overruns and delays may reduce or eliminate returns.

Conflicts of interest
EHP Capital operates a vertically integrated platform. Affiliates of EHP Capital may provide property management, construction management, asset management, brokerage, and other services to properties owned by EHP Capital-sponsored vehicles, and may receive fees and other compensation for those services in addition to any sponsor economics. EHP Capital and its principals co-invest in transactions, may sponsor multiple vehicles or accounts with overlapping investment strategies, and allocate investment opportunities, personnel time, and resources among them in their discretion. These and other relationships create actual and potential conflicts of interest. Material conflicts of interest applicable to a particular offering are described in that offering's Offering Documents.
